Section 1. Acceptance of Terms
Welcome to PitchDeckHost.com ("PitchDeckHost," "we," "our," or "us").
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PitchDeckHost governing your access to and use of the PitchDeckHost website, software, applications, services, document-hosting platform, and all related functionality (collectively, the "Service").
These Terms incorporate by reference the Privacy Policy, the Acceptable Use Policy, and the Copyright & Intellectual Property Notice, each of which forms part of this Agreement.
By creating an account, accessing, browsing, uploading content to, downloading content from, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies that may be incorporated into these Terms by reference.
If you do not agree to these Terms, you must not create an account, access, or use the Service.
Eligibility
You represent and warrant that:
• You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• You possess the legal capacity and authority to enter into this agreement.
• If you are acting on behalf of a corporation, partnership, limited liability company, nonprofit organization, governmental entity, or other legal organization, you have full authority to bind that organization to these Terms.
If you do not satisfy these requirements, you may not use the Service.
Modifications to these Terms
PitchDeckHost reserves the right to modify, update, revise, or replace these Terms at any time in its sole discretion.
If we make material changes, we may notify registered users through the Service, by email, or by other reasonable means. Continued use of the Service following the effective date of any revised Terms constitutes your acceptance of those revised Terms.
If you do not agree to revised Terms, you must discontinue use of the Service.
Electronic Acceptance
You acknowledge and agree that selecting an "I Agree," "Accept," or similar option during registration, account creation, or continued use of the Service constitutes your electronic signature and has the same legal force and effect as a handwritten signature to the fullest extent permitted by applicable law.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and PitchDeckHost concerning your use of the Service and supersede all prior or contemporaneous understandings, communications, or agreements relating to the Service.
2. Definitions
For purposes of these Terms of Service, the following terms shall have the meanings set forth below:
2.1 Service
"Service" means the PitchDeckHost website, software, applications, systems, servers, document-hosting platform, document processing services, document conversion services, and all related features, functionality, content, and services made available by PitchDeckHost.
2.2 User
"User" means any individual or legal entity that accesses, browses, registers for, uploads content to, downloads content from, or otherwise uses the Service.
2.3 Account
"Account" means the registered user profile established by a User for the purpose of accessing features of the Service.
2.4 Content
"Content" means any information, data, document, presentation, file, image, photograph, video, audio recording, spreadsheet, PDF, presentation, manuscript, business plan, report, proposal, screenplay, software file, marketing material, text, graphic, or other digital material uploaded to, stored on, processed by, or made available through the Service.
2.5 User Content
"User Content" means any Content submitted, uploaded, stored, transmitted, published, processed, or otherwise provided to the Service by a User.
2.6 Hosted Document
"Hosted Document" means any User Content that has been uploaded to, processed by, or made available through the Service for viewing, sharing, or distribution.
2.7 Access Code
"Access Code" means a user-selected code used to restrict access to a Hosted Document. Within the PitchDeckHost user interface, an Access Code may be referred to as a "Pitchdeck Code." References to Access Codes throughout these Terms include Pitchdeck Codes.
2.8 Processing
"Processing" means the automated operations performed by the Service after a document has been uploaded. Processing may include, without limitation, file validation, document conversion, image generation, indexing, optimization, storage, or other technical operations necessary to make a Hosted Document available through the Service.
2.9 Intellectual Property
"Intellectual Property" includes copyrights, trademarks, service marks, patents, trade secrets, proprietary information, know-how, moral rights, and any other intellectual property rights recognized under applicable law.
2.10 Third Party
"Third Party" means any person or entity other than the User and PitchDeckHost.
2.11 Applicable Law
"Applicable Law" means all federal, state, local, and other laws, regulations, rules, judicial decisions, and governmental requirements applicable to the use of the Service.
2.12 Business Day
"Business Day" means any day other than Saturday, Sunday, or a recognized federal holiday in the jurisdiction governing these Terms.
2.13 We, Us, and Our
The terms "we," "us," and "our" refer collectively to PitchDeckHost and its owners, operators, affiliates, successors, and permitted assigns, as applicable.
2.14 Including
Whenever the words "including," "includes," or "include" are used in these Terms, they shall be deemed to mean "including without limitation" unless expressly stated otherwise.
3. Description of the Service
PitchDeckHost.com ("the Service") is an online document-hosting platform that enables registered users to upload, store, organize, manage, and share digital documents with individuals of their choosing through the use of a unique access code (referred to throughout the website as a "Pitchdeck Code").
Although the Service was originally designed for hosting investor pitch decks, business presentations, and similar materials, it may also be used to host many other categories of digital documents, subject to these Terms of Service and all applicable laws.
The Service provides tools that may include, without limitation:
• Uploading and hosting documents.
• Displaying documents through a web browser.
• Sharing access to hosted documents using a Pitchdeck Code.
• Managing hosted documents through a registered user account.
• Viewing uploaded documents from desktop and mobile devices.
• Other features that may be added, modified, or removed from time to time.
PitchDeckHost.com functions solely as a technology hosting and delivery platform. PitchDeckHost.com does not participate in, supervise, facilitate, evaluate, negotiate, or influence any business, investment, creative, commercial, employment, licensing, or other relationship that may occur between Users and recipients of Hosted Documents.
The Service does not review, endorse, verify, investigate, monitor, edit, approve, or guarantee the accuracy, legality, originality, quality, ownership, usefulness, completeness, confidentiality, commercial value, or intellectual property status of any document uploaded by users.
Users are solely responsible for all documents they upload, store, distribute, or otherwise make available through the Service.
PitchDeckHost.com does not guarantee that any uploaded document will remain continuously available, free from interruption, immune from accidental deletion, secure from unauthorized access, or permanently preserved. Users are solely responsible for maintaining their own backup copies of all uploaded materials.
Nothing contained within the Service should be interpreted as legal, financial, investment, business, tax, accounting, intellectual property, or professional advice. Users are solely responsible for determining whether the Service is appropriate for their intended purposes.
The availability, functionality, appearance, features, storage limits, file size limits, supported document formats, and operational characteristics of the Service may be modified, suspended, restricted, or discontinued at any time without prior notice.
4. User Accounts and Responsibilities
To use certain features of PitchDeckHost.com, including uploading, hosting, managing, or sharing documents, you must register for an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree that you are solely responsible for all documents, presentations, pitch decks, images, videos, text, graphics, files, metadata, links, and any other materials that you upload, store, publish, transmit, or otherwise make available through the Service ("User Content").
By using the Service, you represent and warrant that:
• You own all necessary rights, licenses, permissions, or authorizations required to upload and distribute your User Content, or you have obtained all necessary permissions from the rightful owner(s).
• Your User Content does not violate any copyright, trademark, patent, trade secret, privacy right, publicity right, contractual obligation, or any other intellectual property or proprietary right of any person or entity.
• Your User Content does not violate any applicable law, regulation, court order, or governmental requirement.
• Your User Content does not contain malicious software, viruses, malware, ransomware, or other harmful code intended to interfere with or damage computer systems or networks.
• Your User Content is not knowingly false, misleading, defamatory, fraudulent, or intended to deceive others.
You acknowledge and agree that PitchDeckHost.com does not review, verify, validate, endorse, monitor, or guarantee the accuracy, legality, ownership, originality, quality, or completeness of User Content. All User Content remains the sole responsibility of the user who uploaded it.
You further acknowledge that any person who receives access to a document through an access code (referred to throughout the Service as a "Pitchdeck Code") may be able to view, download, copy, reproduce, photograph, record, summarize, distribute, or otherwise use the contents of that document. PitchDeckHost.com has no ability to monitor, control, or prevent the actions of individuals who have been provided with a Pitchdeck Code.
Accordingly, users assume all risks associated with sharing documents through the Service, including but not limited to the unauthorized disclosure, copying, distribution, misuse, theft, or alleged theft of ideas, business concepts, creative works, confidential information, trade secrets, intellectual property, or any other materials contained within uploaded documents.
If you believe your uploaded materials require legal protection, confidentiality agreements, patent protection, copyright registration, trademark registration, or other legal safeguards, you are solely responsible for obtaining those protections before uploading or sharing such materials through the Service.
You agree that you will use the Service entirely at your own risk and that PitchDeckHost.com shall not be responsible or liable for any loss, damage, claim, dispute, or legal action arising from your decision to upload, host, store, or share any document or other User Content through the Service.
5. Acceptable Use Policy
PitchDeckHost.com is intended to provide a lawful, professional, and reliable platform for hosting and sharing digital documents. By using the Service, you agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree that you will not use the Service to upload, store, transmit, distribute, display, promote, or otherwise make available any content or engage in any activity that:
• Violates any applicable federal, state, local, or international law or regulation.
• Infringes upon the copyright, trademark, patent, trade secret, privacy rights, publicity rights, or other intellectual property rights of any person or entity.
• Is fraudulent, deceptive, misleading, defamatory, libelous, threatening, harassing, abusive, hateful, obscene, or otherwise unlawful.
• Promotes violence, criminal activity, terrorism, or other illegal conduct.
• Contains malware, ransomware, spyware, viruses, Trojan horses, worms, or any other malicious software or code.
• Attempts to gain unauthorized access to any account, server, database, network, or other portion of the Service.
• Interferes with or disrupts the operation, security, integrity, or availability of the Service.
• Attempts to reverse engineer, decompile, disassemble, or otherwise analyze the underlying software or infrastructure of the Service except as expressly permitted by applicable law.
• Uses automated scripts, bots, crawlers, or other automated methods to access or interact with the Service without our prior written permission.
• Attempts to circumvent file size limits, security measures, access restrictions, or other technical limitations implemented by the Service.
• Uploads content containing personal information of another individual without that person's authorization where such authorization is required by law.
• Uploads content that violates any contractual obligation or court order.
• Uses the Service for spam, phishing, unsolicited advertising, mass distribution of promotional materials, or other unauthorized commercial activities.
• Misrepresents your identity or falsely suggests any affiliation with PitchDeckHost.com or any other individual or organization.
PitchDeckHost.com reserves the right, but not the obligation, to investigate suspected violations of these Terms and to remove, disable access to, suspend, or permanently terminate any account or Hosted Document that we reasonably believe violates these Terms or applicable law.
Nothing in these Terms shall obligate PitchDeckHost.com to monitor User Content or actively investigate user activity. Our failure to remove or investigate any content shall not constitute approval of that content or create any legal responsibility or liability on the part of PitchDeckHost.com.
PitchDeckHost.com reserves the right to cooperate with law enforcement agencies and governmental authorities when required by law or when we reasonably believe such cooperation is appropriate.
6. Ownership of Content and Intellectual Property
PitchDeckHost.com does not claim ownership of any User Content uploaded to the Service.
As between you and PitchDeckHost.com, you retain all ownership rights, copyrights, trademarks, trade secrets, and other intellectual property rights that you possess in your User Content.
By uploading User Content to the Service, you grant PitchDeckHost.com a limited, non-exclusive, worldwide, royalty-free, revocable license solely to the extent necessary to:
• Receive and store uploaded files.
• Process uploaded documents into supported viewing formats.
• Create temporary or permanent derivative files required for document conversion, rendering, indexing, optimization, caching, backup, or display.
• Display Hosted Documents to individuals who have been provided with the applicable Access Code (referred to within the Service as a "Pitchdeck Code").
• Maintain, improve, secure, troubleshoot, and operate the Service.
This license exists solely for the purpose of operating the Service and terminates when your User Content is permanently removed from our systems, except to the extent copies must be retained for backup, disaster recovery, legal compliance, security investigations, or other legitimate operational purposes.
PitchDeckHost.com does not acquire any ownership interest in your User Content by virtue of this license.
You represent and warrant that you possess all rights necessary to grant the foregoing license.
If any third party asserts that your User Content infringes upon its intellectual property or other legal rights, you acknowledge that you—not PitchDeckHost.com—are solely responsible for responding to and resolving such claims.
PitchDeckHost.com reserves the right to remove, disable access to, or restrict any User Content that we reasonably believe infringes upon the rights of another person or entity or otherwise violates these Terms or applicable law.
Nothing in these Terms obligates PitchDeckHost.com to monitor User Content for potential infringement or to determine the ownership or originality of any uploaded material.
Except for User Content uploaded by users, all software, source code, designs, logos, trademarks, graphics, databases, website layouts, text, and other materials comprising the Service are the property of PitchDeckHost.com or its licensors and are protected by applicable intellectual property laws. No rights in such materials are granted except as expressly provided in these Terms.
7. Access Codes ("Pitchdeck Codes")
To facilitate the sharing of Hosted Documents, PitchDeckHost.com allows users to assign a unique access code to individual Hosted Documents. Within the Service, these access codes are referred to as "Pitchdeck Codes."
A Pitchdeck Code functions solely as a mechanism for identifying and accessing a Hosted Document. A Pitchdeck Code is not intended to serve as a substitute for comprehensive security measures, encryption, confidentiality agreements, nondisclosure agreements, digital rights management, or any other legal or technical protection.
Each user is solely responsible for:
• Selecting an appropriate Pitchdeck Code.
• Maintaining the confidentiality of each Pitchdeck Code.
• Determining the individuals or organizations with whom a Pitchdeck Code is shared.
• Monitoring and managing the distribution of Pitchdeck Codes.
• Changing a Pitchdeck Code whenever the user believes it may have been disclosed to an unintended recipient.
Any person who possesses a valid Pitchdeck Code may be able to access the corresponding Hosted Document. Users acknowledge that PitchDeckHost.com generally cannot determine whether an individual accessing a Hosted Document using a valid Pitchdeck Code is the intended recipient.
Users assume all risks associated with voluntarily sharing Pitchdeck Codes, including but not limited to unauthorized viewing, downloading, copying, photographing, printing, recording, summarizing, distributing, disclosing, reproducing, modifying, publishing, or otherwise using information contained within Hosted Documents.
PitchDeckHost.com does not monitor communications between users and recipients of Pitchdeck Codes and has no control over how recipients use, store, distribute, or protect Hosted Documents after access has been granted.
Users should not upload or share any document through the Service unless they are willing to accept the inherent risks associated with electronic document sharing over the Internet.
PitchDeckHost.com makes no representation or warranty that the use of Pitchdeck Codes will prevent unauthorized disclosure, copying, misappropriation, theft of ideas, loss of confidentiality, or infringement of intellectual property rights.
Nothing in the Service should be interpreted as guaranteeing confidentiality, exclusivity, trade secret protection, nondisclosure protection, patent rights, copyright protection, or any other legal protection with respect to information contained within Hosted Documents.
Users are solely responsible for determining whether additional legal protections, including but not limited to nondisclosure agreements (NDAs), confidentiality agreements, patent filings, copyright registrations, trademark registrations, or other legal measures, are appropriate before sharing a Hosted Document with any third party.
PitchDeckHost.com reserves the right to modify, regenerate, invalidate, restrict, suspend, or discontinue the use of Pitchdeck Codes or the methods by which Hosted Documents are accessed at any time, with or without notice, as part of the ongoing operation, maintenance, improvement, or security of the Service.
8. Confidentiality and Disclosure Risks
PitchDeckHost.com is a document-hosting and sharing platform. Users acknowledge and agree that the primary purpose of the Service is to facilitate the electronic sharing of Hosted Documents with recipients selected by the user.
Each user is solely responsible for deciding:
• Whether a document should be uploaded to the Service.
• Whether a document contains confidential, proprietary, sensitive, trade secret, or otherwise valuable information.
• Whether a Hosted Document should be shared with any person or entity.
• Which individuals or organizations should receive a Pitchdeck Code.
• Whether additional legal or contractual protections, including nondisclosure agreements ("NDAs"), confidentiality agreements, licensing agreements, or other protective measures, should be obtained before sharing a Hosted Document.
PitchDeckHost.com does not review, evaluate, or determine whether a document contains confidential information, trade secrets, proprietary business information, intellectual property, inventions, creative works, or other valuable material.
Users acknowledge that any recipient who is provided with a valid Pitchdeck Code may be able to view, download, print, copy, photograph, summarize, reproduce, distribute, disclose, or otherwise use information contained within a Hosted Document.
PitchDeckHost.com has no practical ability and assumes no obligation to monitor, supervise, investigate, verify, or control the actions of individuals who receive access to Hosted Documents through a Pitchdeck Code.
Accordingly, PitchDeckHost.com shall not be responsible or liable for any actual or alleged:
• Misappropriation of ideas.
• Theft of business concepts.
• Theft or misuse of trade secrets.
• Loss of confidentiality.
• Unauthorized disclosure of proprietary information.
• Copyright infringement by third parties.
• Trademark infringement by third parties.
• Patent disputes.
• Breach of confidentiality by recipients.
• Business competition arising from disclosed information.
• Loss of investment opportunities.
• Loss of commercial advantage.
• Loss of prospective business relationships.
• Any other claim arising from the disclosure, use, misuse, or alleged misuse of information contained within a Hosted Document after it has been shared by the user.
Users acknowledge that ideas, concepts, proposals, business plans, creative materials, inventions, strategies, and other information contained within Hosted Documents may have value independent of the Service, and users are solely responsible for determining appropriate legal protections before disclosure. PitchDeckHost.com does not guarantee, and shall not be responsible for guaranteeing, that any information uploaded or shared through the Service will remain confidential, commercially protected, undisclosed, or free from unauthorized use by third parties.
Users acknowledge that PitchDeckHost.com is not a party to any business relationship, investment discussion, licensing negotiation, employment opportunity, acquisition transaction, joint venture, consulting arrangement, or other relationship that may arise from or relate to the sharing of a Hosted Document.
PitchDeckHost.com does not investigate, verify, monitor, supervise, or endorse any recipient of a Hosted Document and makes no representation regarding the honesty, integrity, trustworthiness, qualifications, intentions, financial condition, or conduct of any person or entity who receives access to a Hosted Document.
Users are solely responsible for conducting their own due diligence before sharing any Hosted Document and for determining whether additional legal protections are appropriate under the circumstances.
By using the Service, users knowingly and voluntarily assume all risks associated with electronically sharing Hosted Documents and agree that PitchDeckHost.com shall not be liable for any loss, damage, claim, expense, or legal dispute arising out of or relating to the user's decision to upload, store, host, or share any Hosted Document through the Service.
9. Service Availability, Storage, and Technical Operations
PitchDeckHost.com strives to provide a reliable and continuously available Service. However, the Service is provided on a commercially reasonable basis, and uninterrupted availability cannot be guaranteed.
Users acknowledge and agree that the Service may occasionally experience interruptions, delays, reduced performance, maintenance periods, software defects, hardware failures, network outages, security incidents, or other events beyond the control of PitchDeckHost.com.
Accordingly, PitchDeckHost.com does not guarantee that:
• The Service will be available at all times.
• Hosted Documents will always be immediately accessible.
• Document uploads, processing, or conversions will always complete successfully.
• The Service will operate without interruption or error.
• The Service will be free from bugs, defects, or technical problems.
• The Service will always operate at a particular speed or level of performance.
• Any particular feature or functionality will remain available indefinitely.
Users acknowledge that uploaded documents may undergo automated processing, including, without limitation, validation, conversion, optimization, indexing, caching, thumbnail generation, image generation, storage, and other technical operations necessary to provide the Service.
PitchDeckHost.com reserves the right to modify, suspend, discontinue, replace, or improve any feature, functionality, supported file format, storage method, processing workflow, or operational characteristic of the Service at any time without prior notice.
Although PitchDeckHost.com may maintain backup systems and other operational safeguards, users acknowledge that no electronic storage system is immune from accidental deletion, corruption, hardware failure, cyberattack, natural disaster, software malfunction, human error, or other unforeseen events.
Accordingly, users are solely responsible for maintaining independent backup copies of all documents and other User Content uploaded to the Service.
PitchDeckHost.com shall not be liable for any loss of data, corruption of files, failed uploads, failed document conversions, interrupted processing, storage failures, accidental deletion, system outages, or other technical failures affecting User Content or the availability of the Service.
The Service may occasionally be unavailable due to scheduled maintenance, emergency maintenance, security updates, infrastructure improvements, software deployments, or other operational activities. Such interruptions shall not constitute a breach of these Terms.
PitchDeckHost.com reserves the right to establish or modify limitations on storage capacity, supported file types, document size, bandwidth usage, processing time, account features, or other technical characteristics of the Service at any time.
Nothing contained in these Terms shall be construed as creating any obligation on the part of PitchDeckHost.com to preserve any specific document, maintain any particular feature indefinitely, or continue operating the Service in its present form.
10. Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PITCHDECKHOST.COM DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, GUARANTEES, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, OR THAT THE SERVICE WILL MEET A USER'S EXPECTATIONS OR REQUIREMENTS.
WITHOUT LIMITING THE FOREGOING, PITCHDECKHOST.COM DOES NOT WARRANT OR REPRESENT THAT:
• The Service will always be available or uninterrupted.
• The Service will be free of errors, bugs, defects, or vulnerabilities.
• Uploaded documents will always be successfully processed or displayed.
• Hosted Documents will remain permanently available.
• Any information stored within the Service will never be lost, corrupted, altered, delayed, or deleted.
• The Service will be compatible with every device, browser, operating system, or software configuration.
• The Service will prevent unauthorized access to Hosted Documents.
• The use of Pitchdeck Codes will ensure confidentiality or prevent unauthorized disclosure of information.
• Any document shared through the Service will remain confidential or protected from copying, downloading, photographing, recording, summarizing, redistribution, or other forms of duplication.
• The Service will improve, protect, market, sell, finance, license, publish, distribute, or otherwise enhance the commercial value or success of any User Content.
PitchDeckHost.com makes no representations or warranties regarding:
• The honesty, integrity, financial capability, business practices, or intentions of any person or entity who receives a Hosted Document.
• Whether any recipient will honor an oral or written confidentiality obligation.
• Whether any investor, producer, publisher, distributor, business partner, employer, customer, or other recipient will respond to, review, evaluate, or act upon a Hosted Document.
• Whether any Hosted Document will result in investment, financing, licensing, publication, employment, sales, partnerships, acquisitions, or any other business opportunity.
Users acknowledge that PitchDeckHost.com operates solely as a technology platform for hosting and sharing documents.
No Fiduciary, Agency, Advisory, or Professional Relationship
PitchDeckHost.com is solely a technology platform that provides document hosting, storage, processing, and sharing functionality. Nothing contained within the Service, these Terms, or any communication with PitchDeckHost.com shall create or be interpreted as creating any fiduciary relationship, agency relationship, partnership, joint venture, brokerage relationship, investment advisory relationship, escrow relationship, representation relationship, or professional advisory relationship between PitchDeckHost.com and any User or third party.
PitchDeckHost.com does not represent, promote, endorse, negotiate on behalf of, evaluate, recommend, introduce, or otherwise act as an intermediary between Users and any recipients of Hosted Documents.
Users are solely responsible for their own business decisions, communications, negotiations, agreements, transactions, and relationships with any persons or entities who access Hosted Documents.
PitchDeckHost.com is not an investment advisor, broker, securities intermediary, financial institution, publisher, literary agent, talent agent, producer, attorney, accountant, consultant, fiduciary, escrow agent, or representative of any user.
Nothing contained within the Service shall be interpreted as legal, financial, accounting, investment, tax, intellectual property, business, or professional advice. Users are solely responsible for obtaining independent professional advice whenever appropriate.
No oral or written statement made by PitchDeckHost.com, its owners, employees, contractors, affiliates, representatives, or agents shall create any warranty or representation not expressly set forth in these Terms.
Some jurisdictions do not permit the exclusion of certain warranties. Accordingly, some of the foregoing exclusions may not apply to you to the extent prohibited by applicable law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PITCHDECKHOST.COM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, LIABILITY, COST, EXPENSE, OR OTHER OBLIGATION ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
WITHOUT LIMITING THE FOREGOING, PITCHDECKHOST.COM SHALL NOT BE LIABLE FOR ANY:
• Direct, indirect, incidental, consequential, special, exemplary, or punitive damages.
• Lost profits.
• Lost business opportunities.
• Lost investments.
• Lost financing opportunities.
• Lost contracts.
• Lost customers.
• Lost goodwill.
• Loss of reputation.
• Business interruption.
• Loss of anticipated savings.
• Loss of competitive advantage.
• Loss of confidential information.
• Loss of trade secrets.
• Loss of intellectual property.
• Data loss or corruption.
• Unauthorized access to User Content.
• Theft or alleged theft of ideas, concepts, business plans, creative works, inventions, or other proprietary information.
• Claims asserted by third parties arising from User Content or the sharing of Hosted Documents.
This limitation of liability applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, statutory liability, equitable claims, or any other legal or equitable theory, even if PitchDeckHost.com has been advised of the possibility of such damages.
Without limiting the foregoing, PitchDeckHost.com shall not be liable for disputes arising between users and any third party, including but not limited to investors, producers, publishers, distributors, employers, customers, consultants, licensors, licensees, contractors, business partners, governmental agencies, or any other person or entity that receives or accesses a Hosted Document.
Users acknowledge that they are solely responsible for deciding:
• What information to upload.
• Whether to upload confidential or proprietary information.
• Who receives a Pitchdeck Code.
• Whether additional legal protections, including nondisclosure agreements (NDAs), confidentiality agreements, patent filings, copyright registrations, trademark registrations, or other legal protections, are appropriate before sharing a Hosted Document.
The total cumulative liability of PitchDeckHost.com arising from or relating to the Service shall not exceed the greater of:
(a) the total amount actually paid by the user to PitchDeckHost.com during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) One Hundred U.S. Dollars (US $100.00).
The limitations contained in this Section constitute an essential basis of the agreement between the parties. The fees charged for the Service, if any, reflect the allocation of risk established by these Terms.
Nothing contained in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless PitchDeckHost.com and its owners, officers, directors, employees, contractors, affiliates, agents, successors, assigns, licensors, and service providers from and against any and all claims, demands, lawsuits, actions, proceedings, investigations, liabilities, judgments, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
• Your use of the Service.
• Your violation of these Terms of Service.
• Your violation of any applicable law or regulation.
• Your User Content.
• Any allegation that your User Content infringes or misappropriates any copyright, trademark, patent, trade secret, privacy right, publicity right, or other intellectual property or proprietary right.
• Any dispute arising between you and any recipient of a Hosted Document.
• Any dispute arising from your disclosure of a Pitchdeck Code.
• Any claim that another person or entity copied, used, disclosed, misappropriated, or otherwise exploited information contained within your Hosted Documents.
• Any negligent, intentional, fraudulent, unlawful, or otherwise wrongful act or omission committed by you.
• Any breach of your representations, warranties, or obligations under these Terms.
PitchDeckHost.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with PitchDeckHost.com in the defense of such matter.
Your indemnification obligations shall survive the termination of your account, the deletion of User Content, and the termination of these Terms.
Nothing contained in this Section shall require you to indemnify PitchDeckHost.com for claims resulting solely from the gross negligence, willful misconduct, or other conduct for which indemnification is prohibited under applicable law.
13. Termination and Suspension of Accounts
PitchDeckHost.com reserves the right to suspend, restrict, or terminate your account, access to the Service, or availability of any Hosted Documents at any time, with or without notice, if PitchDeckHost.com reasonably believes that:
• You have violated these Terms of Service.
• You have violated any applicable law, regulation, or third-party rights.
• You have uploaded, stored, displayed, or distributed User Content that is unlawful, harmful, infringing, abusive, fraudulent, misleading, or otherwise inappropriate.
• Your use of the Service creates a security risk, technical risk, legal risk, or operational risk to PitchDeckHost.com, other users, or third parties.
• Your account activity may harm the reputation, integrity, or operation of the Service.
PitchDeckHost.com also reserves the right to suspend or discontinue any portion of the Service, modify features, impose limits, or permanently terminate the Service at any time.
You may terminate your account at any time by following the account termination procedures made available through the Service or by contacting PitchDeckHost.com. Termination of your account does not relieve you of any obligations or liabilities incurred before termination.
Upon termination or suspension of your account:
• Your ability to access the Service may be restricted or discontinued.
• Hosted Documents associated with your account may become unavailable.
• PitchDeckHost.com may delete or remove User Content in accordance with its policies and applicable law.
You are solely responsible for maintaining copies of any documents, files, or other materials that you upload to PitchDeckHost.com. PitchDeckHost.com does not guarantee that User Content will remain available after account termination or deletion.
Any provisions of these Terms that by their nature should survive termination shall remain in effect, including provisions relating to ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.
14. Changes to the Service and Terms
PitchDeckHost.com reserves the right to modify, update, suspend, or discontinue any portion of the Service at any time, including features, functionality, availability, storage limits, access methods, or other aspects of the platform.
PitchDeckHost.com may also update or revise these Terms of Service from time to time. Any changes will become effective when posted on the Service or otherwise made available to users, unless a later effective date is specified.
Your continued use of the Service after any changes to these Terms of Service become effective constitutes your acceptance of the revised Terms. If you do not agree with any updated Terms, your sole remedy is to discontinue use of the Service and, if desired, terminate your account.
PitchDeckHost.com may make reasonable efforts to notify users of significant changes to these Terms or the Service; however, you are responsible for periodically reviewing the Terms of Service to remain informed of any updates.
PitchDeckHost.com does not guarantee that the Service, or any particular feature of the Service, will remain available indefinitely. Features may be added, modified, limited, or removed at PitchDeckHost.com's discretion.
15. Governing Law and Miscellaneous Provisions
These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of PitchDeckHost.com shall be resolved in the appropriate courts located within the State of Florida, unless otherwise required by applicable law.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with any other notices, policies, or agreements expressly incorporated by reference, constitute the entire agreement between you and PitchDeckHost.com regarding your use of the Service and supersede any prior agreements, understandings, or representations relating to the Service.
The failure of PitchDeckHost.com to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it in the future.
You may not assign or transfer your account, rights, or obligations under these Terms without the prior written consent of PitchDeckHost.com. PitchDeckHost.com may assign or transfer these Terms, or any rights or obligations under them, in connection with a merger, acquisition, sale of assets, restructuring, or other business transaction.
The headings used in these Terms are provided for convenience only and do not affect the interpretation of any provision.
These Terms shall be binding upon and benefit the parties and their respective permitted successors and assigns.
